Form a Virginia corporation
A corporation is a well-established and well-known form of legal business entity. The benefits of operating your business as a corporation included limited liability protection for all of the shareholders (owners) and better tax treatment through electing S corporation tax status. One of the most important things when choosing to operate as a corporation is to form the corporation correctly and properly. Failure to do so can result in revocation of the corporate charter or an attempt by corporate creditors to “pierce the corporate veil” and attempt to hold the shareholder’s liable for the corporation’s debts.

We also offer the option to include By-laws and organizational meeting minutes for your new corporation. All Virginia corporations are required to have by-laws (see Virginia Code 13.1-624). The by-laws are the “rules” by which the corporation operates and should be specific to your business. They must also be adopted correctly. The organizational meeting minutes allow you to have an initial organizational meeting to adopt the by-laws, approve the Articles, nominate and elect officers and directors, and approve other important actions to be taken by the corporation. These important organizational documents are evidence of the proper formation of the corporation and its treatment as a separate entity, all important if a future claim is made against the corporation and/or shareholders personally.
We also offer a corporate record book, which is customized with your corporation’s name and has ten Stock Certificates printed with your corporation’s name and with corporate seals. This is a handy place to store all of your corporate records and enables you to issue stock certificates to your shareholders.
